This agreement sets out the rights, permissions and responsibilities that apply when authors or publishers make books available for sale through Readora.ng.
Last updated: August 28, 2026
This Author & Publisher Agreement sets out the terms under which an author, publisher or other authorised rights holder ("Author" or "Publisher") may submit and make digital books available for distribution and sale through Readora.ng ("Readora").
By submitting a book to Readora.ng, the Author or Publisher confirms that they have read and agree to this Agreement and have the necessary rights and authority to make the submitted content available through the platform.
The Author or Publisher represents and warrants that they own the copyright or otherwise hold all necessary rights, licences, permissions and authority required to make the submitted book available for digital distribution and sale.
The Author or Publisher remains the owner or authorised rights holder of the submitted content. Except for the permissions expressly granted under this Agreement, submission of a book to Readora does not transfer ownership of the underlying copyright or intellectual property to Readora.
The Author or Publisher grants Readora the necessary non-exclusive authority to make the submitted book available digitally through Readora.ng and to facilitate its sale to customers through the platform.
This authorisation includes the right for Readora to host, store, display, market, distribute and deliver the digital book to customers who have purchased access to it through Readora.ng.
The Author or Publisher also authorises Readora to process and receive customer payments relating to purchases of the applicable book through Readora.ng and to account for the applicable proceeds payable to the Author or Publisher in accordance with the applicable marketplace and settlement arrangements.
Readora may review submitted books before making them available for sale. Readora may decline, restrict, suspend or remove a book where it reasonably believes that the content does not meet platform requirements, applicable law, licensing requirements or the terms of this Agreement.
The Author or Publisher is responsible for providing accurate information about each submitted book, including the title, author information, description, pricing and other information reasonably required by Readora.
The Author or Publisher must not submit any book or other material that they do not own or have permission to distribute.
Where a book contains material created by another person, including text, images, illustrations, photographs, translations or other protected material, the Author or Publisher is responsible for obtaining and maintaining any permissions or licences required for digital distribution and sale.
Readora may request evidence of copyright ownership, licensing or other rights where reasonably necessary to verify a title.
Customers purchasing third-party books through Readora.ng make payment through the payment methods made available on the platform.
Readora may receive and process customer payments relating to third-party book purchases and subsequently account for the applicable proceeds payable to the relevant Author or Publisher.
Payment processing and settlement may be subject to applicable transaction fees, refunds, chargebacks, disputes, payment reversals and other adjustments.
Following a completed sale, the applicable proceeds due to the Author or Publisher are recorded in accordance with Readora's marketplace accounting and settlement process.
Readora's standard settlement cycle is 24 hours. Subject to any applicable refunds, chargebacks, disputes, payment reversals or other adjustments, proceeds from completed transactions are made available for settlement every 24 hours.
Where Readora holds customer proceeds pending settlement, the funds may remain with Readora until the applicable 24-hour settlement cycle is completed or until any applicable refund, chargeback, dispute or payment-reversal matter has been addressed.
Settlement is therefore made on a daily basis, with each settlement cycle occurring every 24 hours, subject to the applicable payment and withdrawal arrangements.
Readora may deduct applicable fees, refunds, chargebacks, reversals or other amounts properly attributable to a transaction before calculating the amount available for settlement.
A transaction may be adjusted where a customer receives an approved refund, where a payment is reversed, or where a chargeback or other payment dispute occurs.
Where a refund, chargeback or payment reversal relates to a book sale, Readora may adjust the amount otherwise payable to the relevant Author or Publisher accordingly.
Readora may temporarily withhold or adjust settlement amounts where reasonably necessary to investigate a transaction, dispute, suspected fraud or other payment issue.
Readora may remove, restrict or suspend access to a book where it receives a credible copyright complaint, believes that the book may infringe another person's rights, or reasonably believes that the book or the Author/Publisher account violates this Agreement, Readora's policies or applicable law.
Readora may also suspend or restrict an account where there is evidence of fraudulent activity, unauthorised content, payment abuse or other serious misuse of the platform.
The Author or Publisher is responsible for ensuring that all information and materials supplied to Readora are accurate, lawful and authorised for use.
The Author or Publisher must promptly notify Readora if their rights, licence or authority to distribute a book changes or expires.
If Readora receives a copyright or intellectual-property complaint concerning a book, Readora may request relevant documentation from the Author or Publisher.
Readora may restrict or remove the affected title while the matter is reviewed and may take further action where an infringement is established.
Books identified as Readora Exclusive may be produced, commissioned, controlled or otherwise made available under separate arrangements that provide Readora with the necessary rights to distribute and sell those titles.
The terms applicable to a particular Readora Exclusive title may therefore differ from the standard third-party marketplace arrangement described in this Agreement.
Except where a separate written agreement expressly provides otherwise, this Agreement does not transfer the underlying copyright ownership of a book to Readora.
The permissions granted to Readora are limited to those reasonably necessary to operate the digital marketplace, distribute the applicable content and facilitate sales to customers.
Readora may update this Agreement from time to time to reflect changes to the platform, its services, payment arrangements, legal requirements or business operations.
The latest version will be published on this page.
